Ipad 2 Shuts Down COMPLETELY

For the past couple of months my Ipad 2 has been randomly shutting down completely requiring me to do a hard reset (home button and power button) in order to bring it back to life. I then have to enter my itunes password before having any access to my apps, email, etc. This doesn't happen when I'm using the Ipad, but more when I'm finished using it and close the cover...and again, randomly!

My Ipad specs:

Version 7.0.4 (11B554a)
Capacity 28.3 GB
Available 3.1 GB
Carrier Verizon for 3G ---> don't have any trouble connecting to the internet!
