Welcome to the site. There are 2 methods.
If you are already on 5.0 or 5.0.1, then you can do it on the iPad. Connect to WiFi, then go Settings > General > Software Update and follow the instructions.
OR
You can connect your device to iTunes on the PC and press the "update" button. The rest should be automatic.
If you are running into problems, you really need to give us more details. What device (1 or 2) do you have, what version of IOS is on there at the moment, and what error message are you getting?
Let us know how you get on![]()
