Do you have the latest version of iTunes? And have you disabled your virus protection while doing the update?
And lastly do you have a good wifi connection, if it's timing out this may suggest the speed of your connection may not be very good.

you can download manually the iOS, just use search engine manual download iOS 5.0.1 or what version u like, if you are using iOS 5 you can do it right from your pad in settings
